Note: Some products (e.g., investment agreements, program participation, revenue-share or advisory engagements) are governed by separate written contracts. If there is a conflict, those signed contracts control for that product or relationship.
1) Eligibility & Accounts
- You must be at least 18 years old and have the legal capacity to enter into these Terms.
- If you use the Services on behalf of a company or other entity, you represent that you are authorized to accept these Terms on its behalf.
- To use certain features, you may need to create an account and keep your registration data accurate and up to date. You are responsible for safeguarding your login credentials and for all activity under your account.
2) Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:
- Interfere with or disrupt the Services or their security.
- Scrape, crawl, harvest, or attempt to extract data without our prior written permission (except as allowed by applicable law).
- Upload or transmit malware or any harmful code.
- Misrepresent your identity, affiliations, or the source of any content.
- Use the Services to develop or offer a competing service using our confidential information or IP.
3) Applications, Submissions & Feedback
- Program & funding applications. Applying to any Unrealfund program or funding track does not obligate Unrealfund to admit, fund, advise, or form any relationship with you. Selection decisions are at our discretion.
- Confidentiality. Unless we sign a mutual non-disclosure agreement (NDA) with you before you submit materials, we do not assume confidentiality for information you submit via forms, pitch decks, emails, or the Services. Do not share trade secrets or sensitive information unless an NDA is in place.
- Similar concepts. We may review many businesses and concepts. We may already be exploring, advising, investing in, or building similar ideas. By submitting materials, you acknowledge this possibility and waive any claims arising from our review or pursuit of similar opportunities in good faith.
- Feedback. If you provide ideas, suggestions, or feedback, you grant Unrealfund a non-exclusive, worldwide, royalty-free, perpetual license to use them without restriction or compensation.
4) No Investment, Legal, Tax, or Financial Advice
Content on the Services is for general informational purposes only. Nothing on the Services constitutes:
- Investment advice or a recommendation to buy, sell, or hold any security or asset;
- An offer, solicitation, or commitment by Unrealfund to provide financing, acquire securities, or enter into any transaction;
- Legal, tax, accounting, or financial advice.
You should consult your own professional advisors. Any forward-looking statements are subject to risks and uncertainties, and actual results may differ.
5) Paid Features & Third-Party Tools
- Some features may be provided for a fee disclosed at checkout or in a separate agreement. Prices and features may change.
- The Services may integrate third-party tools (e.g., analytics, communication platforms, data rooms). Those services are governed by their own terms and privacy policies. We are not responsible for third-party sites, products, or services.
6) KYC/AML, Sanctions & Compliance
We may conduct identity verification, sanctions screening, and other compliance checks (collectively “KYC/AML”) where required or appropriate. We may suspend or terminate access, or decline to transact, if you fail checks or do not provide requested information.
7) User Content
You are responsible for content you upload or transmit via the Services (“User Content”). You represent that you have all rights needed to share User Content and that it does not infringe, violate law, or contain harmful code. You grant Unrealfund a non-exclusive, worldwide, royalty-free license to host, use, reproduce, and display User Content solely to operate and improve the Services and as otherwise permitted in these Terms. We may remove User Content that violates these Terms or the law.
8) Intellectual Property
The Services, including all text, graphics, logos, videos, software, and other materials, are owned by or licensed to Unrealfund and are protected by IP laws. Except as expressly permitted, you may not reproduce, distribute, modify, create derivative works of, publicly display, or reverse engineer any portion of the Services. All trademarks, service marks, and logos are the property of their respective owners.
9) Privacy
Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share personal data. Please review it carefully. Where required by law, we will obtain your consent for certain processing activities.
10) Communications
By using the Services, you consent to receive service-related communications (e.g., account, security, transactional). Where permitted, you may also opt-in to newsletters and updates. You can unsubscribe from marketing emails at any time via the link in the email.
11) Changes to the Services
We may modify, suspend, or discontinue any part of the Services at any time, with or without notice, including by pushing updates or patches. We are not liable for any change, suspension, or discontinuation.
12) Disclaimers
The Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that defects will be corrected.
13) Limitation of Liability
To the fullest extent permitted by law:
- Unrealfund and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, goodwill, or business opportunities, arising from or related to the Services or these Terms.
- Our aggregate liability for any claim relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to us for the specific Service giving rise to the claim in the 12 months before the event or (b) EUR 100.
Some jurisdictions do not allow certain limitations; in those cases, the above limits apply to the maximum extent permitted.
14) Indemnification
You agree to indemnify and hold harmless Unrealfund and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your use of the Services; (b) your User Content; (c) your breach of these Terms; or (d) your violation of law or third-party rights.
15) Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms or pose a risk to the Services or other users. You may stop using the Services at any time. Sections that by their nature should survive (e.g., IP, Submissions, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive termination.
16) Governing Law & Dispute Resolution
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of Denmark, without regard to conflict-of-laws rules.
- Venue. The courts of Copenhagen, Denmark will have exclusive (or, where mandatory local law applies, non-exclusive) jurisdiction.
- Consumers. If you are a consumer and mandatory law in your country of residence grants you additional rights or a different venue, those rights remain unaffected.
17) Export Controls
You agree to comply with all applicable export control and sanctions laws and not to export, re-export, or transfer any part of the Services in violation of such laws.
18) Entire Agreement; Changes to Terms
These Terms constitute the entire agreement between you and Unrealfund regarding the Services and supersede any prior agreements on this subject (excluding separate signed contracts, which remain in effect). We may update these Terms from time to time. When we do, we will update the “Effective date” and, where required, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
19) Severability; Waiver; Assignment
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, corporate reorganization, or sale of assets.
